Abstract: |
The plaintiff was the contactor of Guolv Merchandise Provision Management Department, which, together with Hong Kong Longdu Industry Ltd., established Duocai Decoration Dope Ltd. On 28 June 1992 (the name changed into “Chaoran Ltd” later) under the agreement and under the registration of industrial and commercial administrative bureau. The plaintiff was the chairman of the board of directors. On 19 August 1995, the board of directors passed the resolution that the Hong Kong Longdu Industry Ltd. Dropped out. Hong Kong Youxin Ltd replaced it with investment. The participation of Hong Kong Youxin Ltd into Chaoran Ltd got the approval of Huizhou Economic Trade Commission and the People’s Government of Guangdong Province. On 5 April 2000, Chaoran Ltd applied to the defendant with the documents concerned for a modification of registration. The defendant approved the application. The modification included the change of the position of the plaintiff and the investment amount. The plaintiff objected and brought a suit to the People’s Court, Huicheng District, Huizhou, which, approved the jurisdictional protest of the defendant and refer the case to the Huizhou Intermediate People’s Court |
