Abstract: |
On 14 Dec 1995, the Xiaoban Company of Handan and the plaintiff made an agreement to change the Hardware Wholesale which was subjected to the former into the a company subject to latter, the plaintiff. All the manpower, capital assets and all the economic and civil liabilities were transferred to the plaintiff. The legal representative had also been changed from Mr. Yiping Niu into Mr. Shuxing Yang. All these three parties applied to the defendant for approval. The defendant, subject to the materials submitted, approved the change of the subjection relationship, the legal reprehensive and the name of the enterprise on 18 Dec 1995 (“the registration at issue”). On 8 Feb 1996, the plaintiff applied to the defendant for cancellation of the modification of registration because of Mr. Yiping Niu’s fraud and the negligence of the defendant to examine. The defendant refused to cancel the registration and the plaintiff sued. |
