Abstract: |
Beijing Kuangda Pharmacy Factory (“Pharmacy Factory”) was invested by the plaintiff and Mr. Yanlin Wang. Each invested a half. Article 11 of the constitution of Pharmacy Factory stipulated that the system of stockholders’ conference was adopted. Stockholders’ conference had supreme power, being able to elect and change the directors. Article 14 said that the board of directors elected and removed the chairman. On 21 Oct 1999, the 2nd workers’ congress was held and elected the directors. Mr. Yanlin Wang was elected as the chairman in the subsequent meeting of board of directors and Mr. Tanlin Wang, the legal representative of the plaintiff was removed. The next day, Mr. Yanlin applied to the defendant for changing the legal representative of Pharmacy Factory. On 3 Nov 1999, the defendant approved the application and renewed the business license, No.1102291965579. The plaintiff claimed that the worker’s congress electing the members of board of directors violated the constitution of Pharmacy Factory. The plaintiff brought a suit against the defendant who approved the change of legal representative. |
